These Terms and Conditions (hereinafter "T&Cs") govern the use of the website ambriel.fr and the contractual relationships between Ambriel (hereinafter "the Provider") and any individual or legal entity wishing to use its services (hereinafter "the Client"). Any order for services implies unreserved acceptance of these T&Cs.
These T&Cs define the conditions under which Ambriel provides its web design, UI/UX design, digital marketing and brand strategy consulting services. They apply to all services offered by Ambriel through its website or any other means of communication.
Ambriel offers the following services, custom-made according to the Client's needs:
Every service is subject to a free personalized quote prepared by Ambriel. The quote details the nature of services, estimated delivery timelines and total price. Quotes are valid for 30 days from the date of issue. The order is considered firm and final upon written acceptance of the quote by the Client (email, electronic signature or online form) and receipt of the deposit.
Prices are quoted in euros (EUR) and are exclusive of tax (HT). Ambriel is not subject to VAT (Article 293 B of the French Tax Code — VAT exemption). Payment terms are as follows:
In case of late payment, late payment penalties will be applied at an annual rate of 3 times the legal interest rate in force, in accordance with Article L.441-10 of the French Commercial Code. A fixed indemnity of 40 euros for recovery costs will also be due.

These timelines run from the receipt of the deposit and all necessary content (texts, images, logos, access) provided by the Client. Any delay attributable to the Client (delay in providing content, excessive validation times) will postpone the delivery date accordingly. The Client has 7 business days after delivery to submit modification requests (within the scope defined in the quote). After this period, the service is deemed accepted.
The transfer of intellectual property rights over deliverables (design, source code, created content) takes effect in favor of the Client upon full payment of the agreed price. Until full payment, Ambriel retains all rights over the creations produced.
Ambriel reserves the right to mention the project in its portfolio and commercial communications (website, social media), unless the Client objects in writing.
Generic tools, frameworks, libraries and components developed or used by Ambriel (not specific to the Client's project) remain Ambriel's property. The Client benefits from a non-exclusive, unlimited license to use these elements within the scope of the delivered project.
For landing page and showcase website offers, hosting and domain name are included for 1 year from the date of launch. Beyond this period, renewal is the Client's responsibility. Ambriel assists the Client with transfer or renewal if needed.
An optional maintenance package can be subscribed for technical updates, regular backups and priority support. Maintenance package terms and prices are defined in a separate document.
Ambriel undertakes to perform services with due care and diligence, in accordance with professional standards. This is an obligation of means. Under no circumstances shall Ambriel's liability exceed the total amount actually received under the relevant contract.
Ambriel shall not be held liable for indirect damages (loss of revenue, data loss, reputational harm) resulting from the use or inability to use the deliverables. Ambriel is not responsible for content provided by the Client, nor for the consequences of its publication.
In case of breach by either Party of any of its essential obligations, the other Party may terminate the contract as of right, after formal notice that has remained without effect for 15 days, by registered letter with acknowledgment of receipt.
In case of early termination by the Client during the project, the deposit paid remains acquired by Ambriel as compensation. If the work performed exceeds the deposit amount, the Client must pay the difference upon presentation of a detailed invoice of work completed.
Neither Party shall be held liable for any delay or failure to perform its contractual obligations if such delay or failure results from a force majeure event as defined by Article 1218 of the French Civil Code (natural disaster, pandemic, widespread Internet outage, cyberattack, strike, government decision, etc.).
These T&Cs are governed by French law. In case of dispute relating to the interpretation or performance hereof, the Parties shall endeavor to find an amicable solution. Failing an amicable agreement within 30 days, the dispute shall be submitted to the competent courts within the jurisdiction of Ambriel's registered office. In accordance with Articles L.612-1 et seq. of the French Consumer Code, consumer Clients may use a consumer mediator free of charge.
